This one I've had a lot of trouble with. It was recorded in Adobe Audition 2.0 with a pure MIDI as the backing track used. The audio and MIDI sync was discovered after the recording process to be off in a nonlinear fashion and that prompted the session to be abandoned. The support for MIDI in Audition has always been poor compared to Cubase, etc., before they eventually just removed it from the CS/CC versions. Derek's guitar playing was on time so I knew it was a computer software/hardware issue that caused it.

I did my best to cover up as much of the desync as possible at the time but I still didn't have the will to spend a lot of time on it and polish it up.

Another stupid issue was the way I recorded the acoustic guitar. On previous recordings, I'd always mic them up, but on this occasion we had a cheapish electro-acoustic so I went the DI route and, well, it sounds like the pickups are being tapped without the full acoustic compliment. A lesson for the future; if it's not broken, don't fix it.

Today (December 19th, 2013), I launched Audition CC to do a bit of normalizing on some old recordings and I spontaneously decided to convert the old Audition 2.0 session (.ses) to Audition CS/CC standards (.sesx) using Ses2sesx and spent about 4-5 hours on it. Despite its flaws, it has never sounded better (though that might not be saying much)!

The acoustic guitar issue is a tough one to fix but believe me when I tell you how much worse the raw stems sound by comparison. I'm also about 7 years rusty at sound engineering and it was only a hobby back when I was active from my mid-teens to my very-early 20s, so I'm sure a more experienced person could produce better results using the same stems.
