Market manipulation is artificially raising or lowering the price of stock on any national securities or commodities exchange or in the over-the-counter (OTC) marketplace. Market manipulation generally involves orchestrated stock purchases or sales designed to inflate or deflate the true sales volume, demand, and ultimately, price of a stock.

One of the most common market manipulation schemes is known as a “pump and dump.” In pump and dump schemes, the perpetrators accumulate free trading stock in a company, artificially inflate (or pump) the stock price, and after the price reaches its peak, sell (or dump) their shares at a profit. The pump involves recruiting unwitting investors through misleading sales practices, false public information, or deceptive corporate filings. Many of these schemes employ boiler room methods in which brokers who are bribed to participate in the scheme use high-pressure sales tactics to sell restricted shares to victim investors. These additional investors raise the price of the stock. Once the price of the targeted shares reaches a certain point, the perpetrators dump their free trading shares at a profit and leave innocent investors with worthless stock. Victim investors holding restricted shares are unable to even try to sell their shares due to the restricted nature of their stock.

Pump and dump schemes often involve the technique of reverse merging a private company into a publicly traded “shell” company. In these instances, the individuals who are carrying out the scheme form a private company and use it to acquire a publicly traded shell company. A shell is generally a defunct company with little or no assets, no employees, and no business plan, but which still has stock registered with the SEC. In a reverse merger, the fraudsters sell their shares in the private company to the publicly traded shell in exchange for shares in the public company. After the sale, the perpetrators simply change the name of the newly formed public company and carry out a standard pump and dump. The effect of a reverse merger is that the fraudsters obtain control of a newly formed public company with minimal SEC regulatory review, thus allowing them to conduct a pump and dump scheme.

Market manipulation schemes can occur on any of the national securities exchanges, but they are most common in the OTC marketplace. Stocks traded on OTC markets are commonly referred to as penny, micro-cap, pink sheet, or bulletin board stocks. These stocks generally have few shares outstanding and little trading volume. As a result, they are more likely to be targeted for manipulation. Brokers who are engaged in illegal activities may also use “off-market” transactions in conjunction with a market manipulation to raise additional capital. In these cases, brokers sell worthless penny stock directly to investors rather than using one of the national securities exchanges or OTC quotation systems.

Computer intrusion is another method used in market manipulation schemes. Computer intrusion involves criminals hacking into victims’ personal online brokerage accounts and using them to purchase shares of a targeted stock to inflate its price. As in traditional pump and dump schemes, once the price of the stock reaches a certain point, the perpetrators dump their own shares and walk away with a profit..
