What is the latest update regarding the Corporate Transparency Act?

Smith case in Texas – Nationwide ban stayed on February 18
FinCEN Notice on February 19 instituting a March 21, 2025 deadline to comply.
 i.      Notably, FinCEN said it would use the 30 day period to assess its options for further modification of the deadlines and will “prioritize reporting of those entities that pose the most significant national security risks”
US Department of Treasury issued a statement March 2, 2025
i.      No penalties or fines will be issued for noncompliance
ii.      Treasury Department will further be issuing a proposed rulemaking that will narrow the scope of the rule to foreign reporting companies only.
Simultaneously, there are several cases percolating through the court system.
i.      A Michigan court just found that the CTA  is unconstitutional based on fourth amendment grounds
ii.      Top Shop case in Fifth Circuit will have oral arguments next month

This podcast discusses the Court of Appeal (Civil Division) regarding a tax dispute between HMRC and Dolphin Drilling Ltd. The core issue is whether a taxation provision known as the “hire cap” applies to payments made by Dolphin Drilling for leasing an offshore asset, the Borgsten Dolphin, from an associated company. The applicability of the cap hinges on the interpretation of Section 356LA(3) of the Corporation Tax Act 2010 (CTA 2010), specifically whether the asset’s use for accommodating offshore workers was "unlikely to be more than incidental to another use". The Court of Appeal ultimately preferred the arguments of HMRC, concluding that the lower tribunals had misdirected themselves on the meaning of "incidental" by focusing on secondary importance rather than the use arising out of or being connected to another purpose. The judgment finds that the Borgsten Dolphin’s use as accommodation was a significant and independent use, meaning the hire cap should apply, thus allowing HMRC’s appeal.
