Choosing the right legal structure for your business, commonly known as entity selection, is one of the most impactful tax decisions you can make. The structure you choose determines how income is taxed, what deductions are available, and how much flexibility you have in planning. Understanding the financial implications of different entity types—and making the right choice for your business—can lead to significant tax savings and operational advantages.

The goal of entity selection is to align your business’s operations, revenue model, and growth trajectory with the most tax‑efficient structure available. Sole proprietorships and partnerships are often the simplest to set up, with income and losses passing through to the owners’ personal tax returns. While this structure avoids double taxation, business income is subject to both income tax and self‑employment tax. C corporations offer a different set of tax dynamics. For example, a business contemplating rapid growth or seeking outside investment may be better positioned as a C corporation, despite the double tax, because the structure supports stock-based fundraising. Conversely, businesses focused on owner compensation and tax efficiency often benefit from S corporation status. Transitioning between entities requires formal steps and IRS approval, such as filing Form 2553 to elect S corporation status, and should be executed with professional guidance.

Entity selection is also influenced by state tax rules. Some states impose additional taxes or fees on certain entity types—an aspect that can dramatically alter the overall tax outlook. Factoring in both federal and state implications ensures your choice supports long-term profitability and growth.
