For example, a business contemplating rapid growth or seeking outside investment may be better positioned as a C corporation, despite the double tax, because the structure supports stock-based fundraising. Conversely, businesses focused on owner compensation and tax efficiency often benefit from S corporation status. Transitioning between entities requires formal steps and IRS approval, such as filing Form 2553 to elect S corporation status, and should be executed with professional guidance.

Entity selection is also influenced by state tax rules. Some states impose additional taxes or fees on certain entity types—an aspect that can dramatically alter the overall tax outlook.
