BIO: I’ve 20+ years in the funds industry, starting out in Fund Accounting many years ago and switching across to my current role in Depositary in 2016. Simply put, the role of the Depositary centres on protecting the interests of the shareholders. We are a separate legal entity within BNY Mellon so operate independently of the Administration side of the business. My own role is client-facing, so we deal with client queries, attend board meetings to present our findings for a given period among other things!

This podcast discusses a judgment from the High Court of Justice in England and Wales concerning the restructuring plan of Sino-Ocean Group Holding Limited. The judgment addresses the sanctioning of a proposed restructuring plan under the Companies Act 2006, specifically focusing on the use of a cross-class cram down, where the plan is approved despite dissent from some creditor classes. Long Corridor Asset Management Limited, a creditor, opposed the plan, arguing it unfairly favors shareholders. The court examined whether the conditions for a cross-class cram down were met, including whether dissenting creditors would be worse off than in the "relevant alternative," likely an insolvent liquidation. The court ultimately approved the plan, finding it beneficial for creditors despite advantages to shareholders, as maintaining state-owned entity status through shareholder retention was deemed crucial for the company's financial stability and valuation. Undertakings were given by the company and shareholders to further secure these benefits.
